Mergers & Acquisitions

  • Advised, negotiated and managed the construction of a second newbuild Jack-Up Drilling Rig from a shipyard in Singapore at a cost of US$208 million.
  • Led and negotiated the purchase of a 51% stake in a Floating Production Sharing and Offtake (FPSO) vessel for the sum of US$89 million and its deployment in a gas field in the northwest of Peninsular Malaysia
  • Led, negotiated and managed the construction of a newbuild Jack-Up Drilling Rig from a shipyard in Singapore at a cost of US$208 million.
  • Led and manage the acquisition of a Mobile Operating Production Unit for the sum of US$70 million and its deployment to a gas field situated off Terengganu, Malaysia.
  • Advised on the merger and integration of two of Malaysia’s largest oil and gas support services companies.
  • Advised and negotiated the development of a plot of land in Kuala Lumpur City Centre.
  • Advised, negotiated and completed the sale of a BMW dealership together with the showroom and land on which the dealership sits, for a sum of RM60 million.
  • Advised and completed a joint venture with a significant Middle Eastern partner to explore opportunities in the offshore oil & gas business in the State of Qatar.
  • Advised and completed the acquisition of an accommodation barge from the Jaya Holdings Group of Singapore.
  • Advised, negotiated and completed the establishment of a joint venture with two Indian companies to jointly own and operate an offshore construction and pipelaying vessel.  
  • Advised and completed a joint venture with the Larsen & Toubro Group of Companies of India.

Oil & Gas

  • Conceptualised and implemented an effective Petronas license structure for a major Malaysian listed oil& gas organisation supporting an offshore drilling division.
  • Undertook and reported on a study of upstream oil & gas opportunities arising in North, West & Central Africa.
  • Advised and negotiated the award of a contract for the sum of US$158 million to provide a jackup up drilling rig to Petronas Carigali Sdn Bhd.
  • Led and negotiated the award of a contract for the sum of US$540 million by Hess to provide an FPSO to the Kamelia Field.
  • Advised and concluded the award by PETRONAS of Malaysia’s first Risk Service Contract for the development of the Berantai marginal oil field in Malaysia. The venture is in partnership with the Petrofac Group of the United Kingdom.
  • Advised and secured an offshore oil and gas installation contract with Petronas and 11 major PSCs with a value in excess of US$3 billion.
  • Advised and negotiated the construction of an offshore oil and gas workboat for the sum of RM54 million to be constructed by a shipbuilder based in Miri, Malaysia.
  • Advised, negotiated and secured the provision of project management, engineering, transportation and installation of export pipelines, risers, flowlines and shore approach work together with Semi FPS tow for the Gumusut-Kakap deepwater work for Shell.

Legal & Contractual

  • Advised on a risk robust mutual indemnity scheme between various subcontractors operating in close proximity in an offshore drilling operations.
  • Conceptualised and restructured an internal group of companies to be more tax efficient by routing asset ownership and revenue stream through offshore Labuan companies saving tax of US$4 million annually.
  • Advised on a major victory in an international arbitration revolving around an oil and gas installation dispute in Indonesia with a major claim in excess of US$100 million.
  • Advised on the transfer of the listing of a company from the second to the Main Board of Bursa Securities.

Corporate Governance

  • Conceptualised and implemented a Related Party Transaction Framework as part of the Enterprise Compliance Regulatory Compliance of a major Malaysian listed oil & gas company.
  • Advised and implemented a Code of Conduct and a Whistleblower’s Policy for a major Malaysian listed oil & gas company.
  • Advised on the implementation of the recommendations of corporate governance best practices under the Malaysian Code of Corporate Governance 2012 for a major Bursa Malaysia listed oil and gas company.

Corporate Finance

  • Completed a refinancing exercise of US$200 million from a conventional loan facility to an Islamic finance facility to meet the requirements of Shariah compliance in accordance with the requirements of the Securities Commission of Malaysia.
  • Advised and implemented a MTN programme to raise up to SGD$125 million.
  • Advised and implement a share placement exercise of 10% of the issued capital raising a sum of RM85 million.
  • Advised on the raisings of RM600 million of Murabahah Bonds and Medium Term Notes.

Risk Management

  • Conceptualised and structured a risk robust, operationally effective and tax efficient company group structure encapsulating various offshore support vessels and drilling rigs.
  • Conceptualised and implemented a Risk Management Framework for the identification, reporting and mitigation of principal risks for a Malaysian listed organisation and its group of companies.
  • Advised and negotiated a bid for the development of marginal oil fields called by ONGC of India.

Organisational & Procedural Enhancements

  • Advised, formulated and implemented an enterprise wide Authority Manual.
  • Formulated and implemented a Group Supply Chain manual for a Malaysian listed oil and gas organisation.
